Service Agreement — Services, Fees & Terms
These terms describe services provided by Offer Marketing Agency (the “Agency”) to the customer purchasing the services (the “Client”). The selected services, service start date, number of locations, applicable fees, and recurring payment date are confirmed in writing before work begins. Only the services included in that written confirmation form part of the engagement.
1. Services
Standard Package — Local SEO & Business Profile Management
Unless otherwise agreed in writing, the standard package includes:
- Research, update, and optimize 5 target keywords per month.
- Publish 12 Google Business Profile posts per month for each location included in the engagement.
- Write and SEO-optimize 10 service descriptions and 10 product descriptions.
- Respond to all new Google reviews on behalf of the business.
- Email a Local Falcon grid ranking report every 2 weeks, showing keyword position changes across the local map area.
- Hold 1 video or phone strategy meeting per month.
First-month setup and updates
During the first month, create business profiles where none exist, or update existing profiles, on Yelp, Bing, Facebook, Instagram, and LinkedIn. Apple Maps profile creation or updates are included if the business has commercial premises. The first month also includes website edits; the specific edits are agreed with the Client.
The locations covered by the engagement are confirmed in writing before work begins. Any variation from the standard package must be agreed in writing.
Additional Services
The services below are available only when separately agreed in writing. They are not included in the $650 standard monthly fee. Their scope and price are confirmed before work begins.
Google Local Services Ads (LSA), when selected
- Create the LSA account, assist with business verification, and optimize the profile.
- Hold 2 check-in meetings per month to review performance and budget.
Google Ads Management & Analytics Setup
- Create a Google Analytics 4 property and Google Tag Manager container, with tracking-code installation guidance.
- Configure GA4 conversion events for relevant business goals, such as calls, form submissions, and purchases.
- Build Google Ads campaigns, including account structure, ad groups, keyword research, negative keywords, ad copy, and ad extensions.
- Provide ongoing bid management, ad-copy A/B testing, search-term review, audience adjustments, quality-score improvements, and budget recommendations.
- Expand keywords, analyze search terms, and maintain negative-keyword lists.
- Provide a Google Looker Studio dashboard showing impressions, clicks, conversions, cost per conversion, ROAS, and a summary of optimization actions, with reporting updates every 2 weeks.
- Hold 2 campaign strategy meetings per month.
Looker Studio access is shared at the start of the engagement and remains available throughout the service term.
Google Business Profile Verification, when selected
- Prepare and submit the verification request, communicate with Google support, and guide the Client through video or manual verification.
- Include 6 months of suspension-recovery and re-verification assistance from the date of successful verification, at no additional charge. A valid lease in the business name is required for physical locations. This support does not apply to suspensions caused by Client policy violations.
2. Fees & Payment
- Standard package: USD $650 per month, unless otherwise agreed in writing.
- Initial contract term: 3 months.
- Total standard-package fees for the initial term: USD $1,950, payable in 3 monthly installments of $650.
- First payment: USD $650, covering the first month, including the first-month setup and updates described above.
- Additional services: priced separately by written agreement.
Advertising spend is separate from Agency fees. The Client pays the Google Ads advertising budget directly to Google; the Agency does not hold or manage advertising funds.
The first payment is non-refundable and covers account setup, onboarding, and first-month work. The first payment is due on the date of the first invoice. Subsequent monthly payments are due on the same calendar day of each following month. If that day does not occur in a particular month, payment is due on that month's last calendar day.
If payment is not received within 10 days of its due date, a $150 late fee applies, and the Agency may pause services until the outstanding balance is paid in full.
3. Term & Minimum Commitment
Recurring management services begin on the agreed service start date and require a minimum commitment of 3 months. After that period, services continue month to month until either party gives written notice of cancellation.
If the Client cancels during the initial 3-month term, the unpaid balance of fees for that minimum term becomes immediately due. Payments already made toward that term are credited against the amount due.
4. Service Hours
Service hours are Monday through Friday, 10:00 AM–5:00 PM Eastern Time, excluding US public holidays unless otherwise agreed in writing. Requests outside these hours are handled at the Agency’s discretion and may incur additional fees.
5. Client Responsibilities
The Client agrees to:
- Provide access to all required accounts, including Google Ads, GA4, GTM, and Google Business Profile, before the service start date.
- Respond to Agency requests and review and approve content, ad copy, and posts within 3 business days. Delays may delay delivery and/or result in additional fees.
- Notify the Agency promptly of changes to the business, services, offers, or target market that may affect the work.
- Maintain sufficient advertising funds in the Google Ads account, where applicable.
- Comply with Google platform policies. The Agency is not responsible for suspensions caused by Client policy violations.
6. Results
The Agency provides services with professional care and industry best practices. Specific rankings, lead volumes, revenue, ROAS, click-through rates, and other business outcomes are not guaranteed. Results depend on market conditions, competition, advertising budgets, Google algorithms, and other factors outside the Agency’s control.
7. Cancellation, Refunds & Account Access
Cancellation by the Client. Written notice is required; email is sufficient. Cancellation during the minimum term makes the unpaid balance for that term due as described above. Amounts already paid are non-refundable.
Cancellation by the Agency. The Agency will give at least 15 days’ written notice and continue services during the notice period. Prepayments for services not rendered will be refunded on a pro-rated basis.
Account access after termination. The Agency will remove its access from Client accounts within 5 business days of termination. Campaign data, analytics configurations, tag setups, ranking reports, dashboards, and content created under the engagement remain in the Client’s accounts.
8. Intellectual Property & Confidentiality
Upon full payment, work created by the Agency under the engagement, including ad copy, content, campaign structures, tag configurations, and reports, becomes the Client’s property. The Client grants the Agency a non-exclusive license to use anonymized results and samples in its portfolio and marketing.
Both parties must keep shared information, account credentials, business data, strategies, and performance results confidential during and after the engagement.
9. Limitation of Liability
The Agency’s total liability is limited to fees paid by the Client in the 12 months preceding the claim. The Agency is not liable for indirect or consequential damages, including lost profits, lost leads, or reputational harm, or for Google account suspensions, advertising-spend losses, or changes to Google platforms or policies.
10. Governing Law & Disputes
The agreement is governed by the laws of Florida, USA. Disputes must first be submitted to mediation. Any subsequent legal proceedings will take place exclusively in Sarasota, Florida.
11. General Terms
Changes require mutual written agreement. Neither party may assign the agreement without the other party’s express written consent. If a provision is found invalid, the remaining provisions remain in effect. These terms and the written service confirmation constitute the entire agreement for the selected services and supersede prior negotiations and verbal agreements. The agreement may be signed electronically.
